: The Basics of Corporate Structure: Who Makes Decisions, Who Pays for Mistakes, and With Whom Do You Want to Work?

Abstract: S Corps, C Corps, B Corps.  LLC’s and LLP’s. Nonprofits and NGO’s.  What’s with the alphabet soup? And why do so many companies incorporate in Delaware?  This talk will outline the basics of corporate structure with a focus on how structure determines decision-making power and liability.  Corporate structure can make the difference between your bonus going to you, to the stockholders, or to the insurance company.  This talk will be valuable for entrepreneurs who want to build a solid foundation for their companies as well as for jobseekers looking for a good corporate fit for their professional skills.

BioXu Simon has a PhD in Biology from MIT, an MBA in Global Business from Bentley University, and currently serves as Chief Technology Officer at Enozo Technologies.  She served for two years as an American Association for the Advancement of Science (AAAS) Science and Technology Policy Fellow in the US Department of State’s diplomatic office responsible for reducing the threat of chemical weapons use abroad.  She has held high level positions in two technology startups, has served as an adjunct professor while working full-time in industry, and is passionate about enabling scientists to make their best possible contributions to the world.
